MATRIX Campus License Agreement

This MATRIX Subscription Campus License Agreement is made and entered into by and between

DAN BERGERUD.
5354 Sooke Road, Sooke, B.C., Canada, V0S 1N0 ("Licensor") 

and

[Name and address of college/university campus] ("Licensee")

THE PARTIES AGREE AS FOLLOWS:

  1. Licensor hereby grants Licensee a non-exclusive license to use MATRIX and its accompanying user documentation ("Software") subject to the terms and conditions set forth in this Agreement. This Agreement hereby overrides the License Grant for single-users enclosed in the individual Software packages.
  2. Licensee may install the Software on all computers and/or network, portable computers and home computers owned, operated and within the immediate control of faculty, staff and students of the above named college or university campus.
  3. Licensee agrees to pay Licensor the first installment of the annual  subscription within thirty (30) days of the effective date of this Agreement. After one (1) year this Agreement shall automatically renew for one (1) year terms by receipt of payment to Licensor from Licensee.
  4. Either party may cancel this Agreement for any reason. Upon cancellation, Licensee agrees to uninstall the Software from all computers containing the Software within 30 days of the effective date of cancellation, and further agrees to validate in writing to Licensor that Software has been uninstalled from all computers.
  5. Licensor will provide Licensee with free upgrades as they become available.
  6. Copyright law protects the Software. Licensee may not use, copy, modify, or transfer the Software, or any copy, modification or merged portion thereof, in whole or in part, except as expressly provided for in this Agreement. The terms of this Agreement shall prevail in the event of conflict with any otherwise applicable law for the protection of proprietary rights.
  7. Subject to the limitations herein before expressed, this Agreement will inure to the benefit of and be binding upon the parties, their successors, administrators, heirs, and permitted assigns.
  8. Limited Warranty: Licensor makes no warranties, including warranties of merchantability and fitness for a particular purpose. Any remedy under this warranty is limited to return of the software to the dealer or to Licensor for replacement or refund. This warranty is valid for 90 days from your date of purchase. Licensor excludes any warranty coverage for incidental or consequential damages.
  9. Licensee has caused this agreement to be executed BY INSTALLING THE SOFTWARE.
